Annual General Meeting

NOTICE IS HEREBY GIVEN THAT the Annual General Meeting (AGM) of the Members of MDA National Limited ACN 055 801 771 (MDA National) will be held at Level 6 Building B/207 Pacific Highway, St Leonards NSW on Friday 20 November 2026 commencing at 4.00pm (Australian Eastern Daylight Time).

 

Members must register their interest to attend the 2026 AGM and indicate their mode of attendance (virtually or in person).

Members may attend the 2026 AGM in the following manner:

• subject to numbers, in person or by proxy at our Sydney office, Level 6 Building B/207 Pacific Highway, St Leonards NSW, at 4.00pm (Australian Eastern Daylight Time); or
• virtually, provided such Members have a computer or mobile/tablet device with internet access.

If you wish to attend the AGM, either in person or virtually, please register your attendance at returningofficer@mdanational.com.au by 12 noon AEDT Wednesday 11 November 2026. Details on how to virtually join the meeting will be provided to relevant Members upon confirmation of attendance.

A quorum is required for the AGM to proceed. The quorum for the AGM is 16 Voting Members.

B. Minutes of 2025 AGM

Tabling of the Minutes of the Annual General Meeting held on Friday 28 November 2025.

C. Consideration of the Mutual Board Annual Financial Report

In accordance with section 317 of the Corporations Act (the Act), to receive and consider the following reports for the financial year ended 30 June 2026:

• the Annual Financial Report; and
• and the Auditor's Report, Balance Sheet and Income and Expenditure Statement.

D. Consideration of the following resolutions in relation to proposed amendments to MDA National’s Constitution

1. Special Resolution – To remove the position of the Chair of Finance

   To consider and, if thought fit, to pass the proposed special resolution 1 on page 1 of the accompanying Explanatory Statement

2. Special Resolution – To extend the term of office bearer roles to a term of three (3) years

   To consider and, if thought fit, to pass the proposed special resolution 2 on page 2 of the accompanying Explanatory Statement

3. Special Resolution – To clarify the Managing Director position is linked to the office of Chief Executive Officer

   to pass the proposed special resolution 3 on page 3 of the accompanying Explanatory Statement

E. Election of Mutual Board – Announcement of Election Result

Three vacancies on the Mutual Board have been declared. An election will be conducted to determine how these vacancies will be filled and the results, if available, will be announced at the AGM.

F. General Business

To transact any other business brought before the meeting in accordance with the Constitution of MDA National.

Further details of, and the reasons for the business to be conducted at the AGM are contained in the attached Explanatory Statement provided to you by MDA National, which should be read together with, and forms part of this notice.

PROXY FORMS

If you are a Voting Member (as defined in the Constitution of MDA National) but are not attending the AGM, you have a right to appoint a proxy to attend and vote on your behalf at the 2026 AGM. Your appointed proxy does not need to be a Member of MDA National. Each Voting Member has 1 vote.

If you wish to appoint a proxy please complete the proxy form available at mdanational.com.au or by requesting a copy from MDA National by calling 1800 011 255. In accordance with clause 17.20 of the Constitution of MDA National, all completed proxy forms must be received at least 48 hours before commencement of the 2026 AGM, being no later than 4.00pm AEDT on Wednesday 18 November 2026.
